1. Agreement to Terms

By accessing or using YoutubeToText.ai ("Service," "we," "us," or "our"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Service.

2. Description of Service

YoutubeToText.ai is an AI-powered transcription service that converts Youtube videos into text format. Our Service allows users to:

• Submit Youtube video URLs for transcription
• Receive AI-generated text transcriptions
• Access transcription history (for registered users)
• Download transcriptions in various formats

3. User Accounts

3.1 Account Creation

• You may use our Service without creating an account for basic features
• Account creation requires providing accurate and complete information
• You are responsible for maintaining the confidentiality of your account credentials
• You must be at least 13 years old to create an account

3.2 Account Responsibilities

• You are responsible for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account
• We reserve the right to suspend or terminate accounts that violate these Terms

4. Acceptable Use

4.1 Permitted Use

You may use our Service only for lawful purposes and in accordance with these Terms. Specifically, you agree to:

• Submit only Youtube videos you have the right to transcribe
• Use transcriptions for personal, educational, or legitimate business purposes
• Respect intellectual property rights of content creators
• Comply with Youtube's Terms of Service

4.2 Prohibited Use

You agree NOT to:

• Submit copyrighted content without proper authorization
• Use the Service for illegal, harmful, or fraudulent activities
• Attempt to reverse engineer, hack, or compromise our Service
• Submit malicious URLs or content that could harm our systems
• Use automated tools to abuse or overload our Service
• Violate any applicable laws or regulations
• Submit content containing:
  • Hate speech, harassment, or discriminatory content
  • Violence, threats, or harmful content
  • Sexually explicit or inappropriate material
  • Spam, misleading, or deceptive content
  • Personal information of others without consent

5. Youtube Content and Copyright

5.1 Content Rights

• You must have the right to transcribe any Youtube content you submit
• We respect the intellectual property rights of content creators
• Transcribing copyrighted content may require permission from the copyright holder
• You are responsible for ensuring your use complies with copyright laws

5.2 Youtube API Compliance

• Our Service uses Youtube's API and is subject to Youtube's Terms of Service
• Youtube API Services are subject to the Google Privacy Policy
• We may suspend access if Youtube restricts or terminates our API access

5.3 DMCA Compliance

We comply with the Digital Millennium Copyright Act (DMCA). If you believe your copyrighted work has been infringed:

6. Service Availability and Limitations

6.1 Service Availability

• We strive to maintain 99% uptime but do not guarantee uninterrupted service
• Service may be temporarily unavailable for maintenance, updates, or technical issues
• We reserve the right to modify, suspend, or discontinue the Service at any time

6.2 Usage Limits

• Free users may have limits on transcription length, frequency, or features
• Paid users receive higher limits as specified in their subscription plan
• We may implement rate limiting to ensure fair usage

6.3 Accuracy Disclaimer

• Transcriptions are generated using AI and may contain errors
• We do not guarantee 100% accuracy of transcriptions
• Users should review and verify transcriptions for their intended use

7. API and MCP Access

7.1 What Is Included

• The REST API and the MCP server are part of the Service and are included on every plan, including the free minutes a new account starts with
• They run the same engine as the website: a job started through them is the same job, in the same account, drawing on the same minutes. There is no separate quota, key fee, or developer plan
• Documentation is at /docs/, and the machine-readable specification at /openapi.json

7.2 Your Token

• API access uses a token created on your account page. Creating a new token replaces the previous one
• Keep the token confidential and server-side. Anyone holding it can spend your minutes, and under section 3.2 you remain responsible for everything done with your account
• Tell us immediately if a token is exposed, and create a new one, which revokes the old
• We may revoke a token, or suspend API and MCP access, where these Terms are broken or where use threatens the stability of the Service

7.3 Connecting an Assistant Over MCP

• The MCP server authorises through your account rather than through a token. An assistant you connect acts on your behalf and spends your minutes
• You are responsible for what you ask it to do, including the content of the videos it is given
• Remove the connection in the client to end its access

7.4 Limits and Changes

• Fair-use rate limits apply and may change. A request that exceeds them is refused with a clear error rather than billed
• The interface is versioned. Additions such as new fields or new job states can happen at any time, so your integration should ignore what it does not recognise. A change that would break existing callers is published under a new version prefix
• Section 6 applies to the API and MCP as it does to the website: no guarantee of uninterrupted service, and no guarantee of transcription accuracy

8. Payment and Subscription

8.1 Paid Plans

• Premium features require payment as outlined in our pricing page
• Payments are processed through secure third-party payment processors
• Refunds are available upon request, at any time, no questions asked

8.2 Billing

• Subscription fees are billed in advance on a recurring basis
• You authorize us to charge your payment method for applicable fees
• Failed payments may result in service suspension

8.3 Cancellation

• You may cancel your subscription at any time through your account settings
• Cancellation takes effect at the end of the current billing period
• You may request a refund at any time, no questions asked, including for the current or most recent billing period

9. Privacy and Data

9.1 Privacy Policy

Your privacy is important to us. Please review our Privacy Policy to understand how we collect, use, and protect your information.

9.2 Data Processing

• Submitted videos are processed temporarily and deleted after transcription
• We do not store Youtube video content beyond processing requirements
• Transcription results may be stored as specified in our Privacy Policy

10. Intellectual Property

10.1 Our Rights

• The Service, including its design, features, and technology, is owned by us
• Our trademarks, logos, and brand elements are our property
• You may not use our intellectual property without written permission

10.2 User Content

• You retain ownership of content you submit to our Service
• You grant us a limited license to process and transcribe your submitted content
• We do not claim ownership of your transcriptions or submitted content

11. Disclaimers and Limitation of Liability

11.1 Service Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

11.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

11.3 Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, or infringement of any rights of another party.

12. Termination

12.1 Termination by You

You may stop using our Service at any time and delete your account if you have one.

12.2 Termination by Us

We may suspend or terminate your access to the Service if you:

• Violate these Terms of Service
• Engage in fraudulent or illegal activities
• Abuse or misuse the Service
• Fail to pay applicable fees

12.3 Effect of Termination

Upon termination:

• Your right to use the Service ceases immediately
• We may delete your account and associated data
• Surviving provisions include payment obligations, disclaimers, and limitation of liability

13. Modifications to Terms

13.1 Right to Modify

We reserve the right to modify these Terms at any time. Changes will be effective when posted on our website.

13.2 Notice of Changes

• Material changes will be notified via email (if you have an account) or website notice
• Continued use of the Service after changes constitutes acceptance
• If you disagree with changes, you should stop using the Service

14. Governing Law and Disputes

14.1 Governing Law

These Terms are governed by the laws of the Netherlands, without regard to conflict of law principles. If you are a consumer resident in the European Union, this does not deprive you of the protection of the mandatory rules of your own country of residence.

14.2 Dispute Resolution

Informal Resolution: Before filing any legal action, you agree to first contact us to attempt to resolve the dispute informally.

Courts: Any dispute that cannot be resolved informally is submitted to the competent court in Amsterdam, the Netherlands. If you are a consumer, you keep the right to bring proceedings in the courts of your own country of residence, and to use the European Commission's online dispute resolution platform.

15. Miscellaneous

15.1 Entire Agreement

These Terms constitute the entire agreement between you and us regarding the Service and supersede all prior agreements.

15.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

15.3 No Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.

15.4 Assignment

You may not assign your rights under these Terms without our consent. We may assign our rights without restriction.

15.5 Force Majeure

We are not liable for any failure to perform due to circumstances beyond our reasonable control.
